PLEASE READ THIS END-USER LICENSE AGREEMENT (“AGREEMENT”) CAREFULLY BEFORE USING THE SETJOIST PLATFORM. BY CREATING AN ACCOUNT, ACCESSING, OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.

This Agreement is a legally binding contract between you (“You,” “Your,” or “User”) and SetJoist, Inc. (“SetJoist,” “Company,” “we,” “us,” or “our”) governing your use of the SetJoist web application, field app (PWA), client portal, project portal, website, APIs, and all related services (collectively, the “Service”).

1. Definitions

  • “Account Holder” means the individual or business entity that creates a SetJoist account and subscribes to a paid plan. The Account Holder is the primary licensee under this Agreement.
  • “Authorized User” means any individual granted access to the Service by the Account Holder, including employees, crew members, foremen, office staff, and administrators.
  • “Client Portal User” means any third party (such as a homeowner, property owner, or stakeholder) who accesses a project through a token-based portal link shared by the Account Holder. Client Portal Users do not create accounts and are not direct licensees of the Service.
  • “Project Portal User” means any third party (such as an architect, engineer, subcontractor, or owner) who creates a password-protected account to access the project portal upon invitation by the Account Holder.
  • “Content” means any data, text, files, photos, documents, estimates, invoices, daily logs, inspection reports, messages, or other materials uploaded to, created within, or transmitted through the Service.
  • “Subscription” means the paid plan selected by the Account Holder (Solo, Crew, or Company) that determines feature access, user limits, storage allocation, and pricing.

2. License Grant

2.1 Limited License

Subject to the terms of this Agreement and payment of applicable fees, SetJoist grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during the term of your Subscription solely for your internal business purposes in connection with residential construction management.

2.2 Scope of License

This license permits you to:

  • Access the Service via a web browser or the SetJoist field app (PWA) on compatible devices
  • Create accounts for Authorized Users within the limits of your Subscription plan
  • Generate, store, and manage Content including estimates, invoices, project data, daily logs, inspection reports, photos, and communications
  • Share project access with Client Portal Users and Project Portal Users as described in Section 2.3
  • Use the Service’s API (Company plan only) to build integrations with your own systems

2.3 Portal Access

Client Portal: You may share token-based portal links with your clients. Each link grants read and limited-interaction access (viewing progress, approving estimates, making payments, messaging) to a specific project. Client Portal Users are not counted toward your Authorized User limit. You are responsible for managing portal access, including revoking links when appropriate.

Project Portal: You may invite external collaborators (architects, engineers, subcontractors, owners) to create password-protected accounts for the project portal. Project Portal Users are not counted toward your Authorized User limit. You are responsible for assigning appropriate roles and managing access. Project Portal is available on Crew and Company plans only.

3. Restrictions

You shall not, and shall not permit any Authorized User or third party to:

  • Copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works of the Service or any underlying software
  • Sublicense, sell, resell, lease, rent, loan, distribute, or otherwise transfer access to the Service to any third party not authorized under this Agreement
  • Use the Service to provide a competing construction management service, or allow any third party to access the Service for the purpose of building a competing product
  • Remove, alter, or obscure any proprietary notices, labels, or marks on the Service
  • Use the Service for any unlawful, fraudulent, or harmful purpose
  • Attempt to gain unauthorized access to the Service, other accounts, or the systems and networks connected to the Service
  • Interfere with or disrupt the integrity, security, or performance of the Service
  • Upload or transmit viruses, malware, or any code of a destructive nature
  • Use automated scripts, bots, or scrapers to access the Service or extract data, except through the authorized API
  • Share login credentials among multiple individuals. Each Authorized User must have their own account. Crew member accounts authenticated via passwordless invite links are non-transferable.
  • Exceed the user, project, or storage limits of your Subscription plan

4. Account Terms

4.1 Account Registration

To use the Service, the Account Holder must create an account by providing accurate and complete information, including a valid email address and company name. You agree to keep your account information current and accurate.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify SetJoist immediately at [email protected] if you believe your account has been compromised.

4.3 Authorized User Management

The Account Holder is responsible for adding, removing, and managing Authorized Users. Each Authorized User’s access is governed by the role assigned by the Account Holder (e.g., Admin, Office, Crew, Crew Leader). The Account Holder is responsible for all actions taken by their Authorized Users within the Service.

4.4 Minimum Age

The Service is intended for use by businesses and individuals who are at least 18 years of age. By creating an account, you represent that you are at least 18 years old.

5. Subscription and Payment

5.1 Plans and Pricing

The Service is offered under three Subscription plans: Solo, Crew, and Company. Current pricing, feature availability, user limits, and storage allocations are published on the SetJoist pricing page at https://www.setjoist.com/pricing/. SetJoist reserves the right to change pricing with 30 days’ written notice to existing subscribers.

5.2 Free Trial

New accounts receive a 14-day free trial with full access to the selected plan’s features. No credit card is required during the trial period. At the end of the trial, you must select a paid plan to continue using the Service. If you do not subscribe, your account will be downgraded to a read-only state for 30 days, after which it may be deleted.

5.3 Billing

Subscriptions are billed either monthly or annually, as selected by the Account Holder. Payment is processed through Stripe, Inc. By subscribing, you authorize SetJoist to charge your payment method on a recurring basis at the beginning of each billing cycle. All fees are quoted in U.S. dollars.

5.4 Additional Users

If you exceed the number of Authorized Users included in your plan, additional users will be charged at the per-user rate specified for your plan (Solo: $18/month, Crew: $15/month, Company: $10/month). Additional user fees are prorated and billed in the next billing cycle.

5.5 Taxes

All fees are exclusive of applicable taxes. You are responsible for paying any taxes, duties, or government levies imposed in connection with your use of the Service, except for taxes based on SetJoist’s net income.

5.6 Refunds

SetJoist does not offer refunds for partial billing periods. If you cancel your Subscription, you will retain access to the Service until the end of the current billing period. Annual subscriptions that are canceled mid-term are not eligible for prorated refunds.

6. Content and Data

6.1 Your Content

You retain all ownership rights to Content that you or your Authorized Users upload to, create within, or transmit through the Service. SetJoist does not claim any ownership interest in your Content.

6.2 License to SetJoist

By using the Service, you grant SetJoist a limited, worldwide, non-exclusive, royalty-free license to host, store, process, display, and transmit your Content solely for the purpose of operating and providing the Service to you. This license terminates when you delete your Content or your account, except as required for backup, archival, or legal compliance purposes.

6.3 AI Processing

The Service includes AI-powered features, such as voice-to-text daily log transcription and automatic structuring. When you use these features, your voice recordings and resulting transcriptions are processed by AI models to generate structured output (observations, issues, recommendations, conditions). SetJoist does not use your Content to train AI models. AI processing is performed solely to provide the requested feature functionality.

6.4 Data Portability

You may export your Content at any time using the Service’s built-in export features (CSV, PDF). Upon account termination, SetJoist will make your Content available for export for 30 days. After 30 days, your Content will be permanently deleted except where retention is required by law.

6.5 Data Security

SetJoist implements industry-standard security measures to protect your Content, including encryption in transit (TLS 1.2+), encryption at rest (AES-256), access controls, and monitoring. For full details, refer to our Privacy Policy at https://www.setjoist.com/privacy-policy/.

6.6 Prohibited Content

You shall not upload, transmit, or store Content that: (a) infringes any intellectual property right; (b) is unlawful, defamatory, obscene, or harmful; (c) contains malware, viruses, or destructive code; or (d) violates any applicable law or regulation. SetJoist reserves the right to remove any Content that violates this Section.

7. GPS and Location Data

The Service includes GPS-verified clock-in and clock-out features (available on Crew and Company plans). By using these features:

  • GPS coordinates are collected at two specific moments only: clock-in and clock-out. SetJoist does not continuously track or monitor location.
  • Off-site clock-in entries (outside the configured geofence radius) are flagged for review but not blocked.
  • GPS data is visible to the Account Holder and designated crew leaders within the same account.
  • The Account Holder is responsible for informing Authorized Users that GPS verification is enabled and for complying with applicable labor laws regarding employee location tracking.
  • GPS data is retained for 24 months from the date of recording, then automatically deleted.

8. SMS and Text Messaging

8.1 Program Name and Description

SetJoist Alerts is our text messaging program. By providing your mobile phone number and opting in, you consent to receive text messages from SetJoist related to your use of the Service. Text messages may include:

  • Account verification and security codes
  • Crew invite links and onboarding messages
  • Clock-in and clock-out confirmations
  • Schedule change notifications and reminders
  • Estimate and invoice approval notifications
  • Client portal activity alerts (messages, approvals, payments received)
  • Daily log submission confirmations
  • Safety incident alerts
  • Payment and billing notifications
  • Product updates, tips, and announcements (optional — you may opt out of these separately)

You may choose which categories of text messages to receive by managing your notification preferences in your account settings. Transactional messages (security codes, crew invites, and billing alerts) cannot be individually disabled while your account is active, as they are necessary for the operation of the Service.

8.2 Message Frequency

Message frequency varies based on your role, activity, and notification preferences. Account Holders and office staff may receive 5–20 messages per week depending on project activity. Crew members typically receive 2–10 messages per week, primarily related to scheduling and clock-in. Client Portal Users may receive 1–5 messages per week when their project is active. You can reduce message volume at any time by adjusting your notification preferences.

8.3 Message and Data Rates

Message and data rates may apply. SetJoist does not charge for text messages, but your wireless carrier’s standard messaging and data rates will apply to all messages sent and received. Please contact your wireless carrier for details about your messaging plan. SetJoist is not responsible for any charges imposed by your carrier.

8.4 Consent

By providing your mobile phone number during account creation, crew onboarding, or within your account settings, and by opting in to receive text messages, you expressly consent to receive recurring automated text messages from SetJoist at the phone number provided. Consent to receive text messages is not a condition of purchasing or using the Service, except for transactional messages necessary for account security and crew onboarding.

8.5 Opting Out

To stop receiving text messages, reply STOP to any message from SetJoist. You will receive a single confirmation message and no further messages will be sent to that number. You may also disable text notifications from your account settings at any time.

If you opt out of text messages, you will still receive in-app notifications and email notifications for the same events. Opting out of SMS does not affect your ability to use the Service.

After opting out, you may opt back in at any time by texting START to the same number, or by re-enabling text notifications in your account settings.

8.6 Help and Support

For help with text messaging, reply HELP to any message from SetJoist. You will receive a message with support contact information.

8.7 Supported Carriers

SetJoist text messaging is supported on all major U.S. wireless carriers, including AT&T, Verizon, T-Mobile, Sprint, and most regional carriers. Carrier support is subject to change. SetJoist is not responsible for delayed or undelivered messages caused by carrier issues.

8.8 Privacy

Phone numbers collected for text messaging are used solely for delivering the notifications described in this Section and are not sold, rented, or shared with third parties for marketing purposes. Phone numbers may be shared with our SMS delivery provider (such as Twilio) solely for the purpose of transmitting messages. 9. Intellectual Property

9.1 SetJoist IP

The Service, including all software, code, algorithms, user interface designs, documentation, branding, trademarks, trade names (including “SetJoist”), logos, and all improvements and modifications thereto, are and remain the exclusive property of SetJoist, Inc. This Agreement does not grant you any ownership interest in the Service, only a limited right of use as described herein.

9.2 Feedback

If you provide suggestions, ideas, feedback, or recommendations regarding the Service (“Feedback”), you grant SetJoist an unrestricted, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Service without any obligation or compensation to you.

10. Third-Party Services

The Service integrates with third-party services including Stripe (payments), QuickBooks (accounting), and Google Calendar (scheduling). Your use of these integrations is subject to the respective third party’s terms of service. SetJoist is not responsible for the availability, accuracy, or performance of third-party services. If you connect a third-party service, you authorize SetJoist to access and exchange data with that service as necessary to provide the integration functionality.

11. Service Availability and Support

11.1 Availability

SetJoist will use commercially reasonable efforts to maintain Service availability, but does not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to scheduled maintenance (with advance notice when feasible), emergency maintenance, or circumstances beyond our reasonable control.

11.2 Field App Offline Functionality

The SetJoist field app is designed to function offline. Data entered while offline is stored locally on the device and synchronized with the Service when connectivity is restored. SetJoist is not responsible for data loss caused by device failure, operating system issues, or clearing of browser/app storage while data is queued for synchronization.

11.3 Support

Support is provided via email for all plans. Priority support (faster response times) is included with the Company plan. SetJoist does not guarantee specific response times but will use commercially reasonable efforts to respond promptly to support requests.

12. Term and Termination

12.1 Term

This Agreement begins when you create an account and continues for as long as you maintain an active Subscription or until terminated in accordance with this Section.

12.2 Termination by You

You may cancel your Subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until then.

12.3 Termination by SetJoist

SetJoist may suspend or terminate your access to the Service immediately and without prior notice if:

  1. You breach any material provision of this Agreement
  2. You fail to pay applicable fees within 15 days of the due date after receiving written notice of non-payment
  3. You use the Service for any unlawful or prohibited purpose
  4. Continued provision of the Service to you would violate applicable law
  5. Your use of the Service poses a security risk to the Service or other users

SetJoist may also terminate this Agreement for any reason with 30 days’ written notice.

12.4 Effect of Termination

Upon termination: (a) your license to use the Service immediately terminates; (b) your Content will be available for export for 30 days; (c) after 30 days, your Content will be permanently deleted except where retention is required by law; (d) portal links shared with Client Portal Users and Project Portal User accounts will cease to function; (e) no refund will be issued for unused portions of prepaid billing periods.

12.5 Survival

Sections 3 (Restrictions), 6 (Content and Data), 9 (Intellectual Property), 13 (Disclaimers), 14 (Limitation of Liability), 15 (Indemnification), and 17 (General Provisions) shall survive termination of this Agreement.

13. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

SETJOIST DOES NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; (D) ANY ERRORS IN THE SERVICE WILL BE CORRECTED; OR (E) THE AI-POWERED FEATURES WILL PRODUCE PERFECTLY ACCURATE TRANSCRIPTIONS OR STRUCTURED OUTPUT.

YOU ACKNOWLEDGE THAT THE SERVICE IS A BUSINESS MANAGEMENT TOOL AND IS NOT A SUBSTITUTE FOR PROFESSIONAL LEGAL, FINANCIAL, ENGINEERING, OR SAFETY ADVICE. ESTIMATES, INVOICES, AND REPORTS GENERATED BY THE SERVICE ARE BASED ON DATA YOU PROVIDE AND SHOULD BE REVIEWED FOR ACCURACY BEFORE RELIANCE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

(A) IN NO EVENT SHALL SETJOIST, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR ANTICIPATED SAVINGS, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE AND WHETHER OR NOT SETJOIST WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

(B) SETJOIST’S TOTAL CUMULATIVE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID TO SETJOIST IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

(C) THE FOREGOING LIMITATIONS SHALL APPLY NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY PROVIDED HEREIN.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the limitations in this Section shall apply to the fullest extent permitted by applicable law.

15. Indemnification

You agree to indemnify, defend, and hold harmless SetJoist, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use of the Service or any Content you upload, create, or transmit through the Service
  • Your violation of this Agreement or any applicable law or regulation
  • Your violation of any third party’s rights, including intellectual property rights or privacy rights
  • Any claims by your Authorized Users, Client Portal Users, Project Portal Users, or any other third party related to your use of the Service
  • Any employment or labor disputes arising from the use of GPS tracking, time tracking, or other workforce management features

16. Dispute Resolution

16.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Oklahoma, without regard to its conflict of law provisions.

16.2 Informal Resolution

Before filing any formal dispute, you agree to first contact SetJoist at [email protected] and attempt to resolve the dispute informally for at least 30 days.

16.3 Arbitration

If informal resolution is unsuccessful, any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. Arbitration shall take place in Oklahoma City, Oklahoma, or at a mutually agreed location. The arbitrator’s award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

16.4 Class Action Waiver

YOU AND SETJOIST AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

16.5 Exceptions

Nothing in this Section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights, or to address security threats to the Service.

17. General Provisions

17.1 Entire Agreement

This Agreement, together with the Privacy Policy and any order forms or invoices, constitutes the entire agreement between you and SetJoist regarding the subject matter hereof and supersedes all prior agreements, understandings, and communications, whether written or oral.

17.2 Amendments

SetJoist may update this Agreement from time to time. When we make material changes, we will: (a) update the “Last Updated” date; (b) notify Account Holders via email; and (c) display a notice within the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Agreement. If you do not agree to the changes, you must stop using the Service and cancel your Subscription.

17.3 Severability

If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

17.4 Waiver

The failure of either party to enforce any right or provision of this Agreement shall not constitute a waiver of that right or provision. A waiver of any term shall not be deemed a further or continuing waiver of that term or any other term.

17.5 Assignment

You may not assign or transfer this Agreement or any rights hereunder without the prior written consent of SetJoist. SetJoist may assign this Agreement in connection with a merger, acquisition, or sale of all or substantially all of its assets. This Agreement shall be binding upon and inure to the benefit of the parties and their permitted successors and assigns.

17.6 Notices

Notices to SetJoist shall be sent to [email protected]. Notices to you shall be sent to the email address associated with your account. Notices are deemed received when sent to the applicable email address.

17.7 Force Majeure

Neither party shall be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, government actions, power outages, internet disruptions, or third-party service failures.

17.8 Independent Contractors

The relationship between you and SetJoist is that of independent contractors. Nothing in this Agreement shall be construed to create a partnership, joint venture, employment, or agency relationship between the parties.
